These Terms & Conditions (“Terms”) are applicable to your access to, and use of lanceglasses.com (the “Website”), owned and operated by Lance Glasses LLC, with its principal office at 2035 Sunset Lake Road, Suite B-2 19702 Newark, New Castle, Delaware, USA (referred to as “The Company”, “Lance Glasses” or “we” hereinafter). 

We may, in our sole discretion, change, modify or update these Terms from time to time, and we will provide you with notice of such changes, such as by email, or a notice on our Website. Your use of our website and our services, after any revision or update, automatically confirms your acceptance of the revised Terms. We encourage you, though, to review our Terms as frequently as possible, in order to ensure you understand applicable modifications. This way, you will ensure that in case you may not agree to the revised Terms, you will be able to stop using our website and our services. 

Please keep in mind that this document is a legally binding agreement between you as the Client of the Website (referred to as “you”, “your” or “Client” hereinafter) and the Company. We provide this website and its related products subject to the following terms and conditions. 

1. Privacy & Cookies

 

1.1 We have adopted a GDPR and CCPA compliant Privacy Policy that we hereby advise that should read and refer to in order to fully understand how we collect and use your information.

1.2 Your submission of personal information through the store is governed by our Privacy Policy, which is an integral part of this document, and should only be interpreted in conjunction with it.

1.3 Our Privacy Policy also includes our use of “cookies” policy, which helps us gather and store information about visitors to our website. 

2. Intellectual Property Rights 

 

2.1 Lance Glasses provides information through the website. In case any information made available on this website is not accurate, complete or current, Lance Glasses may not be held responsible. The content found on this website is provided for general information purposes only, and under the circumstances, it should not be relied upon or used as the sole basis for taking purchase decisions without consulting with us or with a specialist primarily. Any reliance on the material on this website is at your own risk.

2.2. Any and all images posted on our website are either property of the Company, or are being used herein with express permission of the Company. All content, icons, images, videos, texts, designs, documentation, reports, etc. found on our website, is in property of the Company, or of its contractual partners.

2.3 You may be able to use the website and/or any information provided thereon strictly for your own personal (private) use. Any other type of usage (copying, redistributing or saving of content, etc.) is forbidden without our express and prior written consent. 

2.4 For the purposes of these terms of use, ”Intellectual Property Rights” means copyright and related rights, trademarks and service marks, trade names and domain names, rights in designs, database rights, rights to preserve the confidentiality of information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (and rights to apply for, and be granted) renewals or extensions of, and rights to claim priority from, these rights and all similar or equivalent rights or forms of protection which will subsist, anywhere and at any given point in time.

2.5 With the exception of the Intellectual Property Rights in the Materials owned by a third party, we are the owner or the licensee of all Intellectual Property Rights in the website, such rights being protected by copyright laws and treaties around the world. All such rights are reserved. 

2.6 You must not use any part of the materials on the website for commercial or business purposes without obtaining a license to do so from us or our licensors. You must not use any part of the website, or the materials on the website, in any way which may prejudice or damage the reputation of Lance Glasses. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of information found on the website, any product, any use of Service, or any contact on the website through which the service is provided, without our express and written prior permission.

3.1 Whenever you visit our website, or when you send us emails, you are communicating with us electronically. Your consent to receive communications from us electronically is expressly provided, as required by law. Communication with you will be made by posting notices on our website, or by email. You expressly acknowledge that all communications satisfy the legal requirements, and that such communications will be made in writing. 

4. General

 

4.1 Lance Glasses offers its specific products (eyeglasses, eyewear frames, sunglasses, accessories, prescription lenses and gift cards) and services (such as virtual try-ons), together the “Products”.

4.2 These Terms and Conditions apply to all of Lance Glasses’ product offers, and to the offers of any of its affiliates. Any agreements concluded between Lance Glasses and you, whether online or in stores are regulated by these Terms. 4.3 By placing an order for or by using our Products, you automatically agree to and are bound by these Terms. If you have any question, please contact the Customer Service Team before placing an order. If you do not agree with these Terms, please discontinue the use of Website. 

4.4 Upon placing an order, the following general procedure is applicable:

▪ After a legal verification, we confirm your card and authorize your order. Credit card information is always encrypted during transfer over networks. You understand, though, that your information (except for credit card information), may be transferred unencrypted and may involve: (a) transmissions over various networks (b) changes to conform and adapt to technical requirements of connecting networks or devices.

▪ We will send a confirmation of your order by email. In case you do not receive a confirmation email from us within 24 hours of placing your order, please contact us.

▪ All descriptions or pricing politics of our products are subject to change at any time without prior notice, at our sole discretion.

▪ We reserve the right to discontinue any product at any time. 

4.5. Certain rights and limitations apply to our Products, such as limitation of sales to any person, to any geographic region or to any jurisdiction, on our own discretion. We may and will exercise this right on a case-by-case basis, without prior notice. We also reserve the right to limit, modify or increase at any time the quantities of any products or services that we offer.

4.6 Our products are available exclusively online, through our website or through other online selling channels. The products may have limited quantities, and are subject to return or exchange only in accordance with our Return Policy Section.

4.7 We are making all the efforts to accurately display the colors and images of our products, but we cannot guarantee monitor’s display will correctly display any color. 

4.8 We do not warrant that the quality of any products obtained by you will meet your expectations, or that any errors in the service will be corrected.

4.9 In case a product that you ordered is no longer available, even after your order has been confirmed, we will make sure we will let you know in due time. You may, then, order another product from our Website or, if you wish, cancel the order. Any payment made will be refunded or replaced with other product.

4.10 As previously stated, Lance Glasses may change these Terms at any time, and under the circumstances, by placing an order with us, you automatically agree to the latest version of these Terms. 

5. Pre-Orders

 

5.1 General. Upon placing a Pre-Order for the Lance Glasses Products, you will be required to provide a series of information about yourself, such as: complete name and surname, physical address for delivery and billing information. You undertake to provide accurate information, and you shall ensure that all such information will be kept up to date. Lance Glasses has no responsibility or liability for your provision of inaccurate or outdated information, and shall have no obligation to make any efforts to determine the correct contact or shipping information. You have the possibility to update your information at any time prior to the shipment of the product(s) by accessing your account.

5.2 You acknowledge and agree that Lance Glasses may decline or delay Pre-Orders to avoid oversubscriptions or as it deems appropriate, provided that we will make efforts to inform you within two (2) weeks of our receipt of your Pre-Order. In such circumstances, you will be entitled to a full refund of the purchase Price. 

5.3 Payment. You will be charged the full price of the products at the time of placing the Pre-Order. If Lance Glasses is unable to commence shipping the products on or before the one-year anniversary of your placing the Pre-Order, Lance Glasses shall process a full refund to you. Your placing of a PreOrder constitutes your express agreement to Lance Glasses of charging the full price of the products at such time. 

5.4 Priority. Lance Glasses will ship the products according to the order in which the Pre-Order is received. You will not receive a particular number associated with your Pre-Order, though. If you decide to cancel or forfeit your Pre-Order in accordance with these Terms, your position will be taken by the next person in line on the Pre-Order list. 

5.5 Delivery Schedule. We will make all the efforts to begin delivering products as soon as reasonably practicable, but you acknowledge and agree that there may be delays caused by circumstances outside of our power. As such, an estimated delivery time is only an estimation, and it is subject to change. Lance Glasses does not represent or warrant that it will be able to ship the product by the estimated date. As a result, in the event that a delay arises and the estimated shipment and/or release of the product is not met, Lance Glasses is not responsible for any damages that may occur due to the delay, nor shall it be obligated, except as set forth in these Terms, to provide any discounts, refunds or credits due to any such delays. We will provide you with updates on the delivery schedule. In case you decide, for any reason, that you do not wish to continue to wait for your product, you may cancel the Pre-Order. 

5.6 Please note that if you Pre-Order a product, the product you receive may vary (including fit, appearance, sizing and composition) from the item displayed on the Website. This does not affect your right to cancel or return the product.

6. Orders & Delivery

 

6.1 By placing an order you confirm that:

a. The data provided by you are complete and correct;

b. You are aged 18 or over, legally qualified to place an order and are not registered blind or partially sighted;

c. You have a written prescription for your spectacles that has been given to you by a suitably qualified person in the last 24 (twenty-four) months (or 12 (twelve) months if you are aged 70 or over), or if your if your eye condition requires a more regular examination; and

d. You will comply with all instructions provided by Lance Glasses website;

e. Upon request, you will supply accurate details of your current prescription (including any notes on the prescription). 

6.2 You are responsible for the prescription if you order a Product on the basis of a prescription provided by a third party. Any costs/damages incurred as a result of an incorrect third-party prescription or of incorrectly providing the details of the prescription to Lance Glasses are for your account. In such a situation, the purchase price of the product will not be reimbursed. 

6.3 You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. 

6.4 You will provide your residential address, as well as a shipping/delivery address in case they are not the same. The products will be considered to be legally and contractually delivered when they are accepted by you, or by anybody on your behalf, at the provided delivery address. In case you refuse or fail to accept the products within two (2) days from arrival at destination point, the products may be returned or we may charge you for storage costs and any further delivery costs, upon instructions. If, the products are returned for non-acceptance, or for impossibility of delivery, Lance Glasses terminates the agreement. 

6.5 We usually aim to deliver the Products within 8 – 21 working days after acceptance of the order, depending on the destination country. For custom made products (prescription/correction lenses delivery will be made in 21-28 working days). For Pre Ordered products or out of stock products, delivery time is between 30-90 working days. Delivery times are estimates and cannot be guaranteed. 

6.6 Orders are placed through the website, by selecting a frame in accordance with the website instructions, entering your prescription details in the form provided and placing an order, which will be processed through out third-party payment facilitator. 

6.7 Orders shall be confirmed by us through the website prior to you placing the final order and subject to further required information, which we may request as and when necessary to your particular order, such as:

a. a copy of the written prescription provided by the optician;

b. contact details of the optician who provided your prescription, in order to verify and/or eventually discuss your prescription;

c. your pupillary distance measurement provided by your optician; or

d. request that you obtain a new written prescription from your optician. 

6.8 Although we shall make every reasonable effort to deliver your products on time, time shall not be of the essence. 

6.9 Should for any reason the products you have ordered become lost or damaged in transit, we shall, at our sole discretion, either replace the goods or reimburse you for all amounts received. 

6.10 We are only able to deliver to a valid shipping address, complete with name of recipient, and the countries to which we ship may change from time to time. 

7. Pricing and Payment

 

7.1 All prices on our website are in presented in US Dollars, and do not include VAT or other taxes as import duties. Any legal taxes are borne by you, upon receipt of the package. We will do our best to inform you as soon as possible you if the price displayed is not fully inclusive of any customs duties or taxes. However, in some countries, additional duties may be payable to your tax authorities on receipt of your delivery. We recommend you contact your local customs authority to determine a landed cost price period to submitting your order. You agree that your order is an offer to purchase chosen products from us in accordance with these terms. 

7.2 Payment shall be made upon placing your order. All credit card and debit cardholders are subject to validity checks and authorization by the card issuer. If the issuer refuses to authorize payment, Lance Glasses may reject your order. 

7.3 Products purchased are for personal or gift use and should not be used for business or commercial use, re-sold or any other commercial benefit. 

7.4 We may choose not to accept your order in our discretion for any reason whatsoever without liability to you, unless we are not permitted to do so under statutory law. Examples of when we may not accept your order include:

a. if products are shown but are not available or are incorrectly priced, or otherwise incorrectly described;

b. if we are unable to obtain authorization of your payment, or incur other payment processing issues;

c. if you order multiple quantities of an individual product to be shipped to the one customer or delivery address;

d. if shipping restrictions apply to the products;

e. if the delivery address is for an entity or individual providing freight forwarding services or is not a valid shipping address. 

7.5 Prices and availability of products as detailed on the website are subject to change from time to time and while we shall endeavor to ensure that such information is accurate, we may notify you of any changes prior to confirming your order. After submitting an order, we will send you an order acknowledgment email with your order number and details as an acknowledgment that we have received your order. This does not constitute an acceptance of your order. 

7.6 Furthermore, if we are unable to supply the chosen products, or the price shown on the website is not correct, we shall have the absolute right to cancel your order. Item availability, pricing and delivery option may vary depending on the shipping destination. You confirm that the details you provide to us in respect to the credit/debit card or payment method being used are yours and that all details are complete, correct and accurate. You further confirm that the credit/debit card is valid. If during validation or authorization checks performed by the card issuer or payment method provider the payment method is refused, we will not accept your order, nor are we obliged to inform you of the reason for the refusal. We are not responsible for any amounts which may be applied by your card issuer or bank or payment method provider as a result of our processing of your credit/debit card payment or another method of payment in accordance with your order. If your credit/debit card or payment method is not denominated in the currency indicated in your order, the final price is calculated and charged by your card issuer or bank or payment method provider and therefore we shall not be responsible for any cost, expense, charge or other liability which may be incurred or suffered by you. You agree that we will issue an electronic invoice to you.

8. Warranties

 

8.1 Our products are sold with a two (2) year warranty, starting with the delivery date.

8.2 If the Products have a defect within the warranty period, you must notify Lance Glasses of the defect within a reasonable period after becoming aware of it (preferably within two (2) months). Any claim made after this period will not be subject to an eventual replacement. 

8.3 You will not be able to make any claim under the warranty, in case a damage is caused to the products in any of the following circumstances:

1. deliberately or by negligence;

2. by improper use or careless maintenance;

3. by normal wear and tear;

4. by not or incorrectly following the instructions relating to the Product; or

5. by having anyone other than Lance Glasses make repairs or changes to the Product. 

8.4 Due to reasons that may be outside of our power, we cannot guarantee, represent or warrant that your use of our website and services will be uninterrupted, timely, and secure, or error-free. 

8.5 Also, we do not warrant that the results that may be obtained from the use of the service will be accurate or reliable. 

8.6 You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you. 

8.7 Lance Glasses’s liability under these Terms and the agreement is limited to the obligations stated in this section (Warranty) and product liability. Any other liability of Lance Glasses is explicitly excluded unless the damage is the result of Lance Glasses’s willful intent or gross negligence. 

8.8 All the products commercialized on this website are sold in procedural compliance with the legislative and regulatory provisions in force all over the world, and benefit from all the approvals needed for their launching. Mandatory displays required by the legislative and regulatory provisions in force will be made on the present site, and especially in the summary quote of the order and the product form of each item. 

9. No guarantees

 

9.1 The information found on our website is not to be considered medical advice or otherwise, and should not be used to for any diagnosis or choice for treatment. We strongly advise you to always consult a specialist for any medical problems in general, and for this type of medical problem in particular. Even though we take great responsibility in administering the accuracy of our website, we do not guarantee that its contents will always be accurate, complete, updated. Any information pertaining to third-parties or any link to other websites (or availability thereof), is not in the responsibility of Lance Glasses. 

9.2 We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that errors in the provision of any service will be immediately corrected. 

9.3 All items purchased from our website are made pursuant to a shipment contract that is always connected to the service. Under the circumstances, the risk of loss and title for such items pass to you upon our delivery to the carrier .

10. Shipping and Return Policy

 

10.1 We currently offer free standard shipping and returns for orders of minimum $99 to the following countries: United States, Canada, Taiwan, Singapore, Hong Kong, India, Malaysia, Indonesia, Australia. We also offer free standard shipping with paid returns for orders of minimum $249 to the following countries: France, Portugal, Italy, Finland, Luxembourg, Bulgaria, Estonia, Greece, Hungary, Latvia, Lithuania, Poland, Romania, Slovenia, Slovakia, Croatia, Czech Republic. For orders below $249 to the above mentioned countries, shipping & return taxes will be supported by the client. Customers will as well be responsible for any duties imposed by local customs.

Please note that, within some countries we ship to, there are some exceptional regions to which we’re unable to deliver orders. If you are in one of those regions, we will not be able to deliver. Our system is created in such a manner that it will not allow you to continue with your order if you select such regions. We’re currently looking to find solutions to these issues in the near future. 

10.2 The time of delivery depends on your prescription. We may be able to provide a shorter delivery time for prescriptions between – 3.00 and + 3.00 with a cylinder up to – 2.00. Here you have the delivery times for prescriptions with this range:

• Sunglasses without prescription: shipment in 2-5 business days

• Single vision glasses & sunglasses: shipment in 4-10 business days

• Varifocal glasses & sunglasses: shipment in 5-8 business days 

10.3 We may need more time to make glasses with prescriptions tailor-made for your prescription that is outside the previously mentioned range. The delivery times are as follows:

• Single vision glasses: shipment in 8-14 business days

• Single vision sunglasses: shipment in 8-14 business days

• Multifocal glasses: shipment in 8-14 business days 

Note: In very few cases (1%), some lenses can be declared defective at the end of the process and will need to be reproduced. In such cases the shipment can be delayed for up to 5 days. We will do our best to keep you informed of such rare delays.

10.4 You have the option to cancel your order any time before shipping, in writing. To do so, you can either email us at support@lanceglasses.com or open a ticket on our support platform. You will be refunded for any payment already made, as provided hereinafter. 

10.5 You also have the option to return or exchange the ordered products (referring here only to regular glasses) within thirty (30) days after delivery, regardless of the reason. You have, though, the obligation, during this period, to handle with great care the products and its packaging, together with all accompanying materials. You will only unpack the product in order to determine if you want to keep it. This clause will not apply for custom made order and prescription lenses. 

10.6 If you wish to return a product, it should be in its original packaging and with all accompanying materials included. Also, the product should be delivered in its original packaging, content and condition, not scratched and not damaged. You can obtain a return form by contacting us, and you will return the products as per our instructions. 

10.7 If you cancel the order, without the exercise of the option to exchange the products, we will reimburse the purchase price without the initial delivery costs (if any) as soon as possible, but in any case, no later than thirty (30) days of receipt of your cancellation request. In the event of an exchange, the purchase price of the exchanged product will be set off against the purchase price of the returned product. Depending on the price of the new product, an additional payment from you may be required. 

10.8 Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy. 

10.9 Glasses damaged during transportation are exchangeable for free if the customer contacts the customer service within 7 days and provides photos of said damage.

10.10 The new glasses will be manufactured and shipped once the returned products will be received by our services. To qualify for these guarantees simply contact our customer service at this email address: support@lanceglasses.com

10.11 Prescription lenses. If, as a result of an investigation conducted in collaboration with you, a manufacturing error is found, this will be in the full responsibility of Lance Glasses. If an error was made by you when filling out the online form, it is up to you to take responsibility and pay any extra it might cause.

10.12 The Lance Glasses frames are exchangeable or refundable. Only the price of the shipment to the return address will remain at your cost. All our ‘fashion lenses glasses’ (not customized: without corrective lenses or tints) are guaranteed 100% satisfied or refunded and exchanged, within thirty (30) days from the receipt of the package.

10.13 If the product is not suitable, the customer may return it to get a replacement, a voucher or a refund of the frame(s) and the shipping fees only.

10.14 If the product was damaged by the customer this warranty is not effective. The frames, even customized, can be exchanged no matter the reason. However, any fees pertaining to the production of corrective or tinted glasses will be borne by you. Frames of a higher price can be ordered, but the extra cost will be charged to you. Incase of an exchange for a frame of lower price, the difference will be refunded within 8 to 10 days.

10.15 Refunds: Sums reimbursed correspond to the price of returned products plus the shipping fees payed at the moment of the order if the refund affects the entire order.The refund will be transferred within about 30 days once the products are received and processed by our service. You will be reimbursed using the same the means of payment provided by you when ordering. The costs of prescription (custom) lenses will not be refunded. 

 

11. Gift Cards

 

11.1 Lance Glasses gift cards can only be used for Lance Glasses products. The gift cards do not expire, are non-refundable and cannot be used to purchase another Lance Glasses gift card. You cannot combine the gift cards with any other discounts, coupons, and/or promotional codes. 

12. Account Creation and Personal Space

 

12.1 When placing an order for our Products, you may have to create an account. Registration of the account requires the provision of a series of personal data.

12.2 Creating a personal space could be preliminary to the order of an internet user, on our website. To this end, you will be asked to provide certain personal information. You undertake to provide accurate information under penalty of termination of the contract and the cancellation of your customer account. Some information will be deemed essential to the completion of the contract and their collection will be essential for the creation of the personal space and the validation of the completion of the contract. If you refuse to provide such information, the creation of the personal space will not be effective. This space allows the customer or member to consult all its orders made on the site. If the data contained in the personal space is lost as a result of a technical failure, or a case of force majeure, our legal responsibility cannot be engaged. However, we undertake to keep all contractual elements secured. The pages related to personal space can be printed freely by you, as the owner of the account. During the creation of the personal space, you are prompted to choose a password. This password guarantees the confidentiality of the information contained in its section ‘my account’ section and the user therefore prohibit himself from communicating it to a third party. Failing that, we shall not be liable for any unauthorized access to the customer’s account. You are responsible for the safety and correct use of your password to your account with Lance Glasses, and undertake to keep them confidential. If you suspect your account is being abused, please contact our team immediately.

12.3 Lance Glasses will process your data in accordance with our Privacy Policy. Please read our Privacy Policy carefully. By placing an order or using our services, you have agreed to our storing and processing of your data and you confirm that any data provided by you are correct and complete.

12.4 By accepting the Terms you have the option to grant Lance Glasses permission to send newsletters and to make offers via email. You can always unsubscribe from our offers and newsletter by clicking on the link in such email. Lance Glasses may also at any time stop sending you offers or newsletters by email.

12.5 Lance Glasses reserves the exclusive right to remove any account that is breaching these Terms, or any inactive account for at least one year. Such a limitation will not constitute a damage to you, and you will not be able to claim any type of compensation, as such. This exclusion is not exclusive of the possibility, for the publisher, to undertake judiciary prosecutions against you, when the facts justified it. 

13. Optional Tools

 

13.1 We may provide you with access to third-party tools. We retain no control, input or monitoring capabilities over such tools, and as a consequence, you agree that we have no liability whatsoever arising from, or relating to, your use of such optional third-party tools. You also acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. 

13.2 Your usage any optional tools offered through our website is entirely at your own risk and discretion. You should make sure that you know and acknowledge the terms on which tools are provided by these third-party providers.

13.3 We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service. 

14. User Comments, Feedback and Other Submissions

 

14.1 We may request you to send feedback about the acquired products, ideas, suggestions or proposals, whether online or by email, (collectively, “content”). You agree that we may without restriction and at any time publish, distribute, edit, copy, translate and otherwise use in any way or medium any content that you send to us. We will not pay compensation for any provided content, or respond to any content.

14.2 We may also, but have are not obliged to, monitor, edit or remove any content that we determine, in our sole discretion, is offensive, unlawful, threatening, libelous, defamatory, pornographic, obscene etc., or that violates any intellectual property rights. 

14.3 You agree that your content will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your content will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any content. You are solely responsible for any content you make and their accuracy. We take no responsibility and assume no liability for any content posted by you or any third-party.

14.4 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

14.5 Our website must not be framed on any other site, nor may you create a link to any part of the website other than the home page. 

15. Errors, Inaccuracies and Omissions

 

15.1 Occasionally our website may contain typographical errors (typos), inaccuracies or omissions pertaining to a product description, pricing, or any other information or content. We reserve the right to correct such errors at any time, or even to cancel without prior notice any eventual order, in case any information is inaccurate. 

16. Termination

 

16.1 These Terms are effective until terminated by either party. You may terminate these Terms at any time, by closing the account following the in-account procedure, or by notifying us. Termination also comes into force when you cease using your account for a year.

16.2 If, at our sole discretion, we deem that you breach, or we suspect that you have breached any provision of these Terms, we also may terminate your account at any time without notice and you will remain liable for any and all amounts due. 

17. Force Majeure

 

17.1 Neither party shall be held liable for a Force Majeure Event.

17.2 If a party believes that a Force Majeure Event has occurred, such party shall immediately inform the other party of the start and end of the Force Majeure Event.

17.3 Notwithstanding the other provisions of the present Terms, each party shall be entitled to terminate the Contract without liability to the other by written notice to the other party in the event that the performance of the Contract is impeded for more than 30 days due to a Force Majeure Event. 

18. Limitation of Liability

 

18.1 We do not exclude in any way or limit our liability for fraud or fraudulent misrepresentation or for any other liability which cannot be either excluded or limited by the applicable law.

18.2 We cannot be held liable for any direct, indirect or consequential loss or damage incurred by any user in connection with the website or in connection with the use, inability to use, or results of the use of the website, any websites linked to it and any materials posted on it.

18.3 Also, we cannot be held liable for any loss or by damages caused by DDoS attacks, viruses or other harmful materials that may infect or affect your computer, your software, your data or any other proprietary material, due to your use of the website. 

19. Prohibited usage

 

19.1 You agree not to use the website in any illegal or unlawful, infringing, tortuous or harmful manner, and also not to violate any other party’s intellectual property rights, its privacy or other similar legal rights. You may not interfere with the operation, use or enjoyment of any service, system or other property. You will not misuse the website by introducing viruses, trojans, worms or any other material which is malicious or technologically harmful.

19.2. You will not attempt to gain unauthorized access to the website, the server on which the website is stored or any server, computer or database connected to the website. 

20. Law and Jurisdiction

 

20.1 Lance Glasses and you shall be obliged to attempt to settle any disputes arising between them including disputes relating to the existence or validity of these Terms through negotiation, provided always that either party shall be entitled at all times to exercise any of its other remedies including through taking legal action.

20.2 In case no settlement is reached, the venue for jurisdiction will be the competent courts in United States of America, at Lance Glasses’ headquarters.
